Terms of Service

1. Acceptance of These Terms

These Terms of Service ("Terms") are an agreement between you and HiveWorks LLC, an Arizona limited liability company, together with its affiliates and subsidiaries ("HiveWorks," "we," "us"). By using gethiveworks.com or any HiveWorks service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use our website or services. You must be at least 18 years old to use our services.

2. Our Services

  • Data Licensing Services: helping businesses understand whether their historical business data may be licensed to AI developers and AI data companies, and connecting qualified businesses with prospective buyers.
  • Referral Partner Program: a program for people who introduce business owners to HiveWorks.
  • Business Automation Services: scheduling, client messaging, voice and chat agents, review management, social media automation and reporting, delivered on platforms including GoHighLevel. Fees and billing for these services are set out in separate billing terms or a client agreement.

HiveWorks is not affiliated with GoHighLevel, Google, Apple, Amazon or other third-party platforms we integrate with, unless stated in writing.

3. Data Licensing Services

  • Our Role. HiveWorks acts as an intermediary. We are not the buyer and are not a party to any license between you and a buyer, unless a written agreement says otherwise.
  • Separate Agreements. If you choose to work with us on a license, a separate written services agreement will set out the terms, including any exclusivity period, renewal, post-term protection and fees. If it conflicts with these Terms, it controls. Each license is governed by its own written agreement between you and the buyer. If those agreements conflict with these Terms, those agreements control.
  • No Guarantees. Submitting a form does not mean your business qualifies. We do not guarantee that you will receive an offer, any particular price, or any timeline. Price ranges and examples on our website are illustrative only.
  • Your Decision. You decide whether to share any data or samples directly with a buyer you approve, which buyers to approve, and whether to sign any license. You may walk away at any time before signing.
  • Your Rights to Data. You are responsible for confirming that your business owns or has the rights to license its data, and that licensing it does not violate any law, customer or vendor contract, software platform terms, or employee or customer privacy obligations. You are responsible for obtaining any consents required.
  • Data Handling. HiveWorks does not receive, hold, store or clean your business data. If you license data, you provide it directly to the buyer under a signed license. Buyers are responsible for exporting, packaging and de-identifying licensed data where required. No method guarantees that identifying information is fully removed, and HiveWorks does not guarantee it.
  • Fees. HiveWorks may be paid (a) a success fee by you under your written agreement with us and (b) referral, partner or similar fees by buyers. We will disclose the amount and basis of each buyer payment to you in writing before you accept any offer. HiveWorks acts for you, the seller, not for buyers. Your written agreement with us controls fees and any exclusivity, renewal or post-term terms.
  • Regulated Industries. Healthcare, financial services and legal businesses are not excluded, but their submissions go through a longer enhanced review that considers laws and duties such as HIPAA, GLBA and attorney-client privilege. Review does not guarantee acceptance, an offer or any outcome, and is not legal advice.
  • Not Professional Advice. Nothing we provide is legal, tax, accounting or financial advice. We encourage you to review any agreement with your own attorney.

4. Referral Partner Program

  • Eligibility. Partners must be at least 18 years old. We may approve or decline any partner application.
  • Partner Agreement. Payouts are governed only by a written partner agreement signed by you and HiveWorks. Payouts apply only to qualified referrals that result in a signed license under that agreement. Not every referral will qualify.
  • Credit. Credit goes to the first registered introduction of a business, through a referral link or a submitted introduction. No credit is given for a business already in our system.
  • Disclosure. You must tell every business owner you refer that you are a paid HiveWorks referral partner.
  • Permission and Conduct. You may submit an owner's contact information only with their permission. You may not send spam, make income or price guarantees, misrepresent HiveWorks or its services, or use HiveWorks branding beyond what we approve.
  • Independent Contractors. Partners are independent contractors, not employees or agents of HiveWorks, and may not sign agreements or make promises on our behalf.
  • Referral Links. Your referral link is personal to you. We may end your participation or withhold payouts for referrals that break these Terms.

5. Text Message Program

HiveWorks LLC ("HiveWorks") sends text messages to people who opt in on our qualify and partner forms. You opt in to each type separately: (a) non-marketing texts about your request or partner account (scheduling, reminders, status updates, payout notices); and (b) marketing texts about data-licensing opportunities, buyer-market updates, referral program news and other HiveWorks services. Message frequency varies. Message and data rates may apply. Consent is not a condition of any purchase or of working with HiveWorks. Checking a box is your electronic signature. You confirm that you are 18 or older and the regular user of the mobile number you provided. Messages may be sent using automated technology.

How to stop. Reply STOP, QUIT, END, REVOKE, OPT OUT, CANCEL or UNSUBSCRIBE to any message, or revoke consent by any other reasonable means, such as emailing support@gethiveworks.com or telling us on a call. We will honor your request as soon as we can and within 10 business days, and may send one text confirming it. Our text system may block your number entirely after STOP, which ends both message types; you can opt in again.

Carriers are not liable for delayed or undelivered messages. If we text you by mistake, reply STOP and tell us.

No sharing. We do not share, sell, rent or disclose your mobile number or text consent to third parties or affiliates for their marketing or promotional purposes. See our Privacy Policy.

6. Calls and AI Assistants

If you consent, HiveWorks may call you using automated technology, prerecorded or artificial voice, or an AI voice assistant, and may respond to you through AI chat assistants. Calls may be recorded and transcribed, and we will tell you at the start of a recorded call. You may revoke consent at any time by any reasonable means, including by telling us on a call or replying STOP to a text.

7. Prohibited Use

You may not use our website or services for any unlawful purpose; to submit false, misleading or unauthorized information; to submit data you do not have the right to share; to harass or harm others; to scrape or copy our website by automated means without written permission; or to interfere with the website or services.

8. Intellectual Property

The website, the HiveWorks name and logo, and all related content, software and materials are owned by HiveWorks or its licensors and are protected by intellectual property laws. You may not copy, modify or distribute them without our written permission. You keep ownership of your business data. To report copyright infringement, contact us using the details below.

9. No Warranty

Our website and services are provided "as is" and "as available." To the fullest extent allowed by law, HiveWorks disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the website or services will be uninterrupted or error free.

10. Limitation of Liability

To the fullest extent allowed by law, HiveWorks and its owners, employees, affiliates and partners will not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, including lost profits, goodwill or data, arising from your use of our website or services. Our total liability for any claim will not exceed the amount you paid HiveWorks, if any, in the 12 months before the claim.

11. Indemnity

You agree to defend and indemnify HiveWorks against claims, losses and reasonable attorney fees arising from information or data you submit, your breach of these Terms, or your violation of any law or third-party right.

12. Arbitration and Class Action Waiver

Any dispute arising from these Terms or our services will be resolved by binding individual arbitration rather than in court, except that either party may bring a qualifying claim in small claims court. You and HiveWorks waive the right to participate in a class action or class-wide arbitration. If the class action waiver is found unenforceable, this arbitration section will not apply to that claim.

13. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law rules. Subject to the arbitration section, any court proceeding will take place in the state or federal courts located in Maricopa County, Arizona.

14. Electronic Communications

You agree that agreements, notices and other communications we provide electronically satisfy any legal requirement that they be in writing.

15. Changes and Termination

We may update these Terms at any time. Changes take effect when posted with a new effective date, and continued use means you accept them. We may change, suspend or end any part of our services, or your access, at any time, including if you break these Terms.

16. General

If any part of these Terms is found unenforceable, the rest stays in effect. These Terms, the Privacy Policy and any written agreements referenced above are the entire agreement between you and HiveWorks about their subject and replace earlier versions.
